ABOUT THIS DRAFT (REMOVE BEFORE PUBLICATION). This is a first-draft template prepared for review and finalization by Cannvas, LLC's counsel. It has not been reviewed for the specific facts of the Service, the states in which the Consumer Apps operate, or the final architecture of the Loyalty Program. Bracketed items are placeholders. Blockquoted "DRAFTING NOTE" callouts are internal counsel guidance and must be deleted before these Terms are made effective. Nothing in this document is legal advice, and this document is NOT YET EFFECTIVE.

1. Introduction, Scope, and Acceptance

1.1 Who we are. These Ratings, Reviews & User-Generated Content Terms and Community Guidelines (these "UGC Terms") are entered into by and between you and Cannvas, LLC, a Michigan limited liability company doing business as "Cannvas" ("Cannvas," "we," "us," or "our").

1.2 What these UGC Terms cover. These UGC Terms govern your access to and use of any feature of the Service that allows you to submit, post, upload, rate, review, comment on, react to, or otherwise contribute content — including product ratings (for example, numeric or star scores), written reviews, photos, videos, aroma or sensory feedback, tags, and other contributions (collectively, "User Content" or "UGC"), as further defined in Section 2. These UGC Terms apply specifically to User Content submitted through the Consumer Apps.

1.3 Relationship to our other terms. These UGC Terms are incorporated into and supplement the Consumer Terms of Use, and are part of your agreement with Cannvas. Your submission and our handling of User Content are also governed by the Privacy Policy. Where User Content is submitted in connection with rewards or points, the Loyalty Program Terms also apply. Where the Service generates automated summaries, ratings roll-ups, sensory or "aroma" analyses, or other machine-generated output derived from User Content ("AI Outputs"), the AI Disclosure & Disclaimer also applies. In the event of a direct conflict between these UGC Terms and the Consumer Terms of Use with respect to User Content, these UGC Terms control as to the specific subject matter addressed here.

1.4 Acceptance. BY SUBMITTING, POSTING, OR OTHERWISE CONTRIBUTING ANY USER CONTENT THROUGH THE SERVICE, YOU AGREE TO THESE UGC TERMS, THE CONSUMER TERMS OF USE, AND THE PRIVACY POLICY. If you do not agree, do not submit User Content.

1.5 Changes. We may modify these UGC Terms as described in Section 14.


2. Definitions

Capitalized terms used but not defined here have the meanings given in the Consumer Terms of Use.


3. Eligibility — Who May Post

3.1 Age. You may submit User Content only if you are at least twenty-one (21) years of age (or the higher minimum legal age for lawful cannabis use in your jurisdiction). THE CONSUMER APPS AND THESE RATING FEATURES ARE FOR ADULTS 21 AND OVER ONLY. USER CONTENT MUST NOT BE CREATED BY OR DIRECTED TO ANYONE UNDER 21.

3.2 Only products you actually and lawfully tried. You may rate or review a Product only if you have personally purchased, obtained, and/or used that Product — and, because ratings in the Service attach to a specific batch and/or primary package, you should rate the specific batch/package you actually experienced. You may not rate or review a Product you have not personally tried. You must have acquired and used the Product lawfully, in a jurisdiction and manner permitted by applicable law and only if you are of legal age.

3.3 Verified purchase, where applicable. Certain review features may be available only to Consumers whose purchase or possession of a specific batch/primary package has been verified through systems integrated with the Service. Where a review is designated "verified," Section 8 governs what that designation means.

3.4 One genuine voice. You must submit User Content under your own account and identity as permitted by the Consumer Terms of Use. You may not operate multiple accounts, use bots or automated means, or act on behalf of an undisclosed third party to submit, inflate, or manipulate User Content.

3.5 No prohibited persons for certain content. If you are an officer, employee, agent, owner, or contractor of an Org, or an immediate family member of such a person, and you review that Org's Products or a competitor's Products, Sections 5, 6, and 7 impose specific disclosure and conflict-of-interest requirements, and certain such reviews are prohibited.


4. License You Grant to Cannvas

4.1 License grant. You retain ownership of the intellectual property rights you hold in your User Content. Subject to the Privacy Policy, and solely to enable us to operate, provide, promote, and improve the Service, you grant Cannvas a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable (through multiple tiers) license to host, store, cache, use, reproduce, display, perform, distribute, publish, adapt, and create derivative works of your User Content for the following purposes:

(a) hosting, storing, displaying, and distributing the User Content within and through the Service;

(b) reformatting, resizing, excerpting, translating, and making technical adaptations necessary to display the User Content across devices, formats, and features (including in aggregated ratings, roll-ups, and AI Outputs), provided that such adaptations do not materially alter the substance of your opinion;

(c) moderating, labeling, ranking, and organizing the User Content as described in Section 9; and

(d) using and displaying the User Content, in whole or in part, to operate, market, and promote the Service and its features, subject to Section 4.4.

4.2 Attribution and pseudonymity. We may display your User Content with or without the username or attribution associated with your account, consistent with the display conventions of the relevant feature and the Privacy Policy. We will not be required to attribute User Content to you by legal name.

4.3 Moral rights. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE, AND AGREE NOT TO ASSERT, ANY "MORAL RIGHTS" OR SIMILAR RIGHTS (including rights of attribution and integrity) in your User Content against Cannvas and its sublicensees, solely as necessary to exercise the license granted in Section 4.1. Where such rights cannot be waived, you consent to Cannvas's and its sublicensees' exercise of the licensed activities.

4.4 Consumer Review Fairness Act — no forfeiture of review rights. NOTHING IN THIS SECTION 4 REQUIRES YOU TO ASSIGN OR SURRENDER YOUR INTELLECTUAL PROPERTY RIGHTS IN YOUR HONEST REVIEWS AS A CONDITION OF USING THE SERVICE, AND NO PROVISION OF THESE UGC TERMS SHALL BE CONSTRUED TO DO SO. The license in Section 4.1 is a limited operational license and is not an assignment of ownership. This Section 4 is subject to, and shall be interpreted consistently with, the Consumer Review Fairness Act (see Section 10).

DRAFTING NOTE (for counsel): The Consumer Review Fairness Act (15 U.S.C. § 45b) voids form-contract terms that require a consumer to transfer IP rights in their reviews to the business (subject to a narrow, non-exclusive-license exception). Confirm the license grant above stays within that exception — non-exclusive, operational, no transfer of ownership — and does not condition use of the Service on any broader assignment. Coordinate with the identical clause in the Consumer Terms of Use so they do not conflict.

4.5 Feedback. If you send us suggestions or feedback about the Service (as distinct from Product reviews), you grant Cannvas a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

4.6 Survival. The license in Section 4.1 is non-exclusive and continues for User Content that remains hosted on the Service. Upon deletion of your User Content or account, we will cease active public display within a commercially reasonable time, except that: (a) we may retain and continue to use residual, cached, aggregated, de-identified, or back-up copies; (b) copies distributed to or retained by sublicensees or third parties before deletion may persist; and (c) User Content already incorporated into aggregated ratings or AI Outputs need not be disaggregated. The representations in Section 5 and the provisions of Sections 4.3, 4.4, 10, 12, and 13 survive termination.


5. Your Representations and Warranties

Each time you submit User Content, you represent and warrant that:

5.1 Genuine experience. The User Content reflects your honest, genuine, first-hand experience and opinion; you have personally and lawfully purchased, obtained, and/or used the specific Product (batch/primary package) you are rating; and any factual statements you make are true to the best of your knowledge.

5.2 Your rights to post. You own or have all rights, licenses, consents, and permissions necessary to submit the User Content and to grant the license in Section 4, including rights to any images, video, audio, names, likenesses, and voices contained in it.

5.3 Not deceptive. The User Content is not false, fraudulent, misleading, deceptive, or defamatory, and does not misrepresent your identity, your experience, or whether you used the Product.

5.4 No health, medical, or efficacy claims. The User Content does not state or imply that any Product diagnoses, treats, cures, mitigates, or prevents any disease or health condition, or produces any medical, therapeutic, or health benefit or effect. You understand Products have not been evaluated or approved for such uses and that such claims are prohibited (see Sections 6.6 and 12).

5.5 No infringement or violation of rights. The User Content does not infringe or misappropriate any third party's intellectual property rights and does not violate any person's privacy, publicity, or other rights, and does not disclose another person's private or confidential information without authorization.

5.6 No undisclosed compensation. You did not submit the User Content in exchange for any payment, discount, free or discounted Product, reward, or other consideration from any Org or third party that you have not clearly and conspicuously disclosed in the User Content itself (see Section 7). Except for Cannvas Loyalty Program points awarded on the terms in Section 7, your review is not compensated by any party, and no party has conditioned any benefit on the sentiment (positive or negative) of your review.

5.7 No conflict of interest. You are not submitting the User Content to promote or disparage a Product in which you or your employer have an undisclosed commercial interest, and your submission complies with the conflict-of-interest rules in Section 6.10.

5.8 Lawful and age-appropriate. You are at least 21 (or the higher applicable age), your use of the Product was lawful, and the User Content does not promote unlawful activity, including unlawful cannabis activity or any provision of cannabis to minors.

5.9 Compliance. The User Content complies with these UGC Terms, the Consumer Terms of Use, the Community Guidelines in Section 6, and all applicable laws.


6. Community Guidelines — Prohibited Content and Conduct

These Community Guidelines define what is and is not allowed. You must not submit, and the Service is not intended to host, User Content that:

6.1 Fake, fraudulent, or manipulated reviews. Is fake, fraudulent, AI-generated to appear human, purchased, traded, incentivized without disclosure, or otherwise manipulated; misrepresents the identity, existence, or experience of the reviewer; or is part of any scheme to inflate, deflate, or distort ratings (including coordinated "review-bombing," vote manipulation, or the use of bots or multiple accounts).

6.2 Reviews of untried products. Purports to review a Product (batch/primary package) that you did not personally and lawfully purchase, obtain, and/or use.

6.3 Defamation and knowingly false statements. Contains statements of purported fact about a Product, Org, or person that you know to be false or that are made with reckless disregard for the truth, or that are defamatory or libelous.

6.4 Harassment, hate, and threats. Harasses, bullies, threatens, or intimidates any person; incites violence; or attacks or demeans people on the basis of race, ethnicity, national origin, religion, sex, gender, gender identity, sexual orientation, disability, age, or other protected characteristic.

6.5 Obscenity and inappropriate material. Is obscene, pornographic, sexually explicit, gratuitously violent, or otherwise inappropriate for an adult-use commercial context; or that sexualizes or targets minors in any way.

6.6 Health, medical, and efficacy claims. STATES OR IMPLIES THAT ANY PRODUCT PROVIDES ANY MEDICAL, THERAPEUTIC, OR HEALTH BENEFIT, OR THAT IT DIAGNOSES, TREATS, CURES, MITIGATES, OR PREVENTS ANY DISEASE OR HEALTH CONDITION (for example, claims that a Product "cures anxiety," "treats pain," "helps insomnia as medicine," or similar). Subjective, non-medical descriptions of your personal sensory experience (for example, taste, aroma, or how a Product made you feel) are permitted so long as they do not assert or imply a medical, therapeutic, or health claim.

6.7 Personal or private information. Contains any person's private, confidential, or personally identifying information (including your own sensitive information, or another's contact details, financial information, or government identifiers) without authorization; or reveals information that could identify a minor.

6.8 Spam and advertising. Is spam, is off-topic, is repetitive, contains commercial solicitation, promotional links, referral or affiliate schemes, contact information, or "buy here" messaging, or is otherwise designed to drive traffic or sales rather than to share a genuine Product experience.

6.9 Illegal content or activity. Is unlawful, or that promotes, facilitates, or encourages any unlawful activity — including unlawful cannabis cultivation, manufacture, distribution, sale, transport, or diversion; interstate shipment of cannabis; sale or provision of cannabis to anyone under 21 or otherwise not legally permitted; or evasion of licensing, testing, packaging, or tracking requirements.

6.10 Conflicts of interest. Reviews a Product that you, your employer, or an entity you are affiliated with produces, processes, distributes, or sells; reviews a competitor's Product for the purpose of disparaging it; or is submitted by an officer, manager, employee, agent, owner, or contractor of an Org (or an immediate family member of such a person) without clearly and conspicuously disclosing that material connection. Certain insider reviews are prohibited entirely at Cannvas's discretion regardless of disclosure.

6.11 Impersonation and misattribution. Impersonates any person or entity, or misrepresents your affiliation with any person or entity.

6.12 Malicious code and interference. Contains viruses, malware, or code intended to disrupt, damage, or interfere with the Service, or that attempts to circumvent our moderation, verification, or ratings systems.

Non-exhaustive. These categories are illustrative, not exhaustive. Cannvas may treat other content as violating these Community Guidelines in its reasonable discretion consistent with Sections 9 and 13.


7. Incentivized Reviews, Loyalty Points, and FTC Compliance

7.1 We reward the act of reviewing, never the sentiment. The Loyalty Program may award points or other benefits for submitting an eligible review. CANNVAS AWARDS POINTS FOR SUBMITTING A GENUINE, ELIGIBLE REVIEW — REGARDLESS OF WHETHER THE REVIEW IS POSITIVE, NEGATIVE, OR NEUTRAL. CANNVAS DOES NOT PAY FOR, REQUIRE, OR REWARD POSITIVE REVIEWS, AND DOES NOT CONDITION ANY POINTS, REWARD, OR BENEFIT ON THE RATING, STAR LEVEL, OR SENTIMENT OF ANY REVIEW. There is no minimum star rating required to earn points, and rewards are never withheld because a review is critical.

7.2 Reviews must stay honest. Earning points does not change your obligations under Section 5. Every review must remain your honest, genuine, first-hand opinion. You must not submit a review you do not believe to be true in order to earn points, and you must not create fake or duplicate reviews or accounts to obtain points.

7.3 Disclosure of the material connection. Because the possibility of earning Loyalty Program points is a material connection between you and Cannvas, that connection must be disclosed clearly and conspicuously in connection with each incentivized review. Cannvas will apply a clear and conspicuous, automated disclosure label (for example, "Reviewer earned Cannvas rewards points for submitting this review") to reviews submitted through an incentivized flow, so that readers understand the incentive. You agree not to remove, obscure, or misrepresent that disclosure, and you must additionally disclose, in the body of your review, any other incentive, payment, discount, free or discounted Product, or other consideration you received from any Org or third party in connection with the Product or the review.

7.4 Third-party incentives are not permitted through Cannvas. Orgs and other third parties may not use the Service to offer, solicit, or condition reviews on any benefit tied to sentiment, and may not offer undisclosed incentives for reviews. Reviews obtained in violation of this Section are prohibited under Section 6.1.

7.5 FTC compliance. These practices are designed to comply with the FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255) and the FTC Trade Regulation Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465), effective October 21, 2024, which — among other things — prohibit fake, false, and AI-generated reviews; prohibit reviews by people who do not exist or did not use the product; prohibit undisclosed insider (officer/employee/relative) reviews; prohibit providing compensation or incentives conditioned on the sentiment of a review; prohibit buying positive or negative reviews; prohibit suppressing honest reviews through unfounded legal threats or intimidation and prohibit falsely implying that displayed reviews represent all or most reviews submitted; prohibit company-controlled "independent" review sites; and prohibit fake indicators of social-media influence. Violations of the Rule can carry significant civil penalties (reported at up to $51,744 per violation, subject to periodic adjustment). Cannvas designs its ratings and rewards features to conform to these requirements and expects Consumers and Orgs to do the same.

DRAFTING NOTE (for counsel): (1) Confirm the exact wording and placement of the automated incentive-disclosure label with the product team so it is genuinely "clear and conspicuous" at the point a reader sees the review (not buried in a tooltip or FAQ). (2) The FTC Rule reaches the platform where the platform knew or should have known reviews were fake; confirm we have a documented detection/removal process (Section 9.4) so we are not "disseminating" prohibited reviews. (3) Coordinate points-forfeiture-for-fraud (Section 13.4) with the Loyalty Program Terms. (4) Verify current per-violation penalty figure at finalization.

8. Verified-Purchase and Other Badges — Honesty

8.1 What a "verified" badge means. Where the Service labels a review as "verified" (or displays a similar indicator), that label means only that, at the time of submission, Cannvas was able to associate the reviewer's account with a record — through systems integrated with the Service — indicating that the reviewer purchased or possessed the specific batch/primary package being reviewed. The label reflects a verification process only.

8.2 What it does not mean. A "VERIFIED" BADGE IS NOT A STATEMENT BY CANNVAS THAT THE REVIEW IS ACCURATE, TRUE, OR RELIABLE; IS NOT AN ENDORSEMENT OR QUALITY GUARANTEE OF ANY PRODUCT; AND IS NOT A REPRESENTATION THAT THE REVIEWER'S OPINION IS CORRECT. The absence of a "verified" badge does not mean a review is fake or that the reviewer did not use the Product; verification may be unavailable for many legitimate purchases.

8.3 Badges are applied honestly. Cannvas will apply verification and other indicators (such as incentive-disclosure labels under Section 7.3) so that they accurately reflect the underlying facts. Cannvas will not knowingly apply a "verified" badge to a review that was not actually verified, and will not use badges or displayed-review selection to falsely imply that the reviews shown represent all or most reviews submitted for a Product.


9. Cannvas's Moderation Rights; Section 230 Posture; No Duty to Monitor

9.1 User Content is the user's speech, not Cannvas's. RATINGS AND REVIEWS ARE THE OPINIONS AND STATEMENTS OF THE CONSUMERS WHO POST THEM. THEY ARE NOT STATEMENTS, CLAIMS, ENDORSEMENTS, OR OPINIONS OF CANNVAS. Cannvas does not author, adopt, verify the truth of, or vouch for User Content.

9.2 Interactive computer service. Cannvas provides an interactive computer service within the meaning of Section 230 of the Communications Act (47 U.S.C. § 230). CANNVAS IS A HOST AND DISTRIBUTOR OF THIRD-PARTY USER CONTENT AND IS NOT THE PUBLISHER OR SPEAKER OF USER CONTENT PROVIDED BY CONSUMERS OR OTHER THIRD PARTIES.

9.3 Right, but no obligation, to moderate. Cannvas may, but has no obligation to, monitor, screen, review, filter, edit for formatting or length, refuse, delay, condition, label, tag, rank, order, organize, demote, promote, aggregate, disable, or remove any User Content, in whole or in part, at any time and for any reason or no reason, with or without notice, in its sole discretion. THE EXERCISE OR NON-EXERCISE OF THESE RIGHTS DOES NOT MAKE CANNVAS THE AUTHOR, PUBLISHER, OR SPEAKER OF ANY USER CONTENT AND DOES NOT WAIVE OR DIMINISH ANY PROTECTION AVAILABLE TO CANNVAS, INCLUDING UNDER 47 U.S.C. § 230. Any moderation, curation, ranking, or organization of User Content is an exercise of Cannvas's editorial discretion, protected under Section 230(c) and the First Amendment.

9.4 Automated tools and AI Outputs. Cannvas may use automated systems, filters, and AI Outputs to detect and act on suspected fake, fraudulent, incentivized-undisclosed, prohibited, or guideline-violating content, and to generate aggregated ratings and summaries. AI Outputs are provided subject to the AI Disclosure & Disclaimer and are not statements by Cannvas about any Product.

9.5 No guarantee. Because Cannvas does not pre-screen all User Content, User Content that violates these UGC Terms may appear on the Service before it is detected or removed. Cannvas does not guarantee the accuracy, quality, integrity, or reliability of any User Content, and your reliance on User Content is at your own risk.

9.6 Effect of removal. Removing, declining, or acting on User Content is not an admission of any fact and does not create any duty to take the same action as to other content. Cannvas has no obligation to restore any removed User Content (see Section 11.6).


10. Consumer Review Fairness Act — Your Right to Honest Reviews

10.1 We do not gag honest reviews. Consistent with the Consumer Review Fairness Act (15 U.S.C. § 45b), NOTHING IN THESE UGC TERMS PROHIBITS, RESTRICTS, PENALIZES, OR IMPOSES ANY FEE ON YOU FOR POSTING AN HONEST REVIEW OR ASSESSMENT — INCLUDING A NEGATIVE OR CRITICAL ONE — OF A PRODUCT, ORG, OR YOUR EXPERIENCE. Any provision of any Cannvas form contract that purports to do so, or that purports to require you to transfer ownership of the intellectual property rights in your reviews, is void and unenforceable, and Cannvas will not enforce it.

10.2 Orgs may not weaponize the platform against honest reviews. Orgs and other third parties may not use the Service to prohibit, threaten, penalize, or retaliate against Consumers for honest reviews, and may not demand removal of, or suppress, honest reviews through unfounded legal threats, intimidation, or misuse of the reporting tools. Attempts to do so violate these UGC Terms and, where applicable, the Consumer Review Fairness Act and the FTC Rule described in Section 7.5.

10.3 What the CRFA does not protect. The Consumer Review Fairness Act protects honest reviews. It does not protect, and these UGC Terms do not permit, content that is defamatory, harassing, obscene, false or deceptive, that reveals another person's private or confidential information, that infringes intellectual property or privacy rights, that is unrelated to a Product or the Consumer's genuine experience, or that otherwise violates Section 6. Cannvas may remove or act on such content under Sections 9 and 13, and doing so is fully consistent with the Consumer Review Fairness Act.


11. Reporting, Notice-and-Takedown, and Dispute Handling

11.1 How to report. If you believe User Content is defamatory, infringing, unlawful, or in violation of these Community Guidelines, please report it to us through the in-Service reporting tools (where available) or by contacting [email protected], or by mail to [NOTICE ADDRESS]. General questions may be directed to [email protected].

11.2 What to include. To help us evaluate a report, please provide: (a) the specific User Content at issue and where it appears (e.g., the Product/batch and a link or screenshot); (b) the reason you believe it violates these UGC Terms or the law; (c) for factual disputes, an explanation of what is inaccurate and any supporting information; and (d) your contact information. Reports must be made in good faith; knowingly false reports and misuse of the reporting tools are themselves violations of these UGC Terms.

11.3 Copyright — DMCA. If you believe User Content infringes your copyright, follow the notice-and-takedown procedures in our Consumer Terms of Use and/or DMCA/Copyright Policy, and submit a notice to our designated agent as described there. [Cross-reference: Consumer Terms of Use / DMCA Copyright Policy — insert designated agent details.] Repeat infringers' accounts may be terminated.

DRAFTING NOTE (for counsel): Confirm whether a standalone DMCA policy and a registered Copyright Agent (USCO) exist. If DMCA safe harbor (17 U.S.C. § 512) is to be relied on, agent registration and a repeat-infringer policy are prerequisites. Cross-link rather than duplicating the full DMCA process here.

11.4 How we handle reports. Cannvas may (but is not obligated to) investigate reports and may take any action described in Sections 9 and 13, or no action, in its discretion. We may, but need not, notify the reporter or the author of the outcome. Consistent with Section 10, we will not remove honest reviews merely because an Org or other party objects to the review's substance or sentiment.

11.5 Defamation and factual disputes. For disputes that turn on the truth of a factual statement, we may consider information provided by both the reporter and the author, but Cannvas does not adjudicate the truth of User Content and is not the arbiter of defamation claims between third parties. Legal disputes about User Content are between the persons involved.

11.6 No obligation to restore. Cannvas has no obligation to restore any User Content it has removed, declined, or disabled, and no obligation to preserve User Content, subject to applicable law and any legal-hold obligations.


12. Disclaimers

12.1 User opinions only. ALL RATINGS AND REVIEWS ARE SUBJECTIVE, PERSONAL OPINIONS OF INDIVIDUAL CONSUMERS. THEY ARE NOT, AND SHOULD NOT BE RELIED ON AS, STATEMENTS OF FACT, CLAIMS, ADVICE, RECOMMENDATIONS, ENDORSEMENTS, OR GUARANTEES BY CANNVAS. 12.3 Batch-specific; not generalizable. Ratings attach to a specific Product batch and/or primary package. A rating of one batch may not reflect the characteristics, quality, or effects of any other batch, package, harvest, or the Product, brand, or strain generally. Product characteristics, potency, and effects vary.

12.4 Aggregates and AI Outputs. Aggregate ratings, roll-ups, rankings, and AI Outputs are automated computations from underlying User Content and are provided "as is," subject to the AI Disclosure & Disclaimer. They may be incomplete, may reflect a limited number of reviews, and should not be relied on as definitive.

12.5 Third-party and Org content. Cannvas is not responsible for the acts, omissions, Products, or statements of Orgs, retailers, or other Consumers.

12.6 Section 230 and limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, CANNVAS DISCLAIMS ALL LIABILITY ARISING FROM OR RELATING TO USER CONTENT, INCLUDING ANY CONTENT THAT IS INACCURATE, OFFENSIVE, DEFAMATORY, OR UNLAWFUL, AND CANNVAS IS ENTITLED TO ALL PROTECTIONS AVAILABLE UNDER 47 U.S.C. § 230. The disclaimers, limitations of liability, indemnification, and other protective provisions of the Consumer Terms of Use are incorporated by reference and apply to your submission and our handling of User Content, in addition to the terms of this Section 12.


13. Enforcement

13.1 Range of actions. For any actual or suspected violation of these UGC Terms, the Community Guidelines, the Consumer Terms of Use, the Loyalty Program Terms, or applicable law, Cannvas may take any one or more of the following actions, in its discretion, with or without notice: (a) issue a warning; (b) edit for formatting, label, demote, or restrict distribution of the User Content; (c) remove or disable the User Content; (d) limit, suspend, or terminate your access to ratings features, the Loyalty Program, or the Service; (e) remove or suspend your account; (f) withhold, reverse, or forfeit Loyalty Program points or rewards as described below; and (g) take any other action permitted by law.

13.2 Consistency with Section 10. Enforcement will be applied consistently with the Consumer Review Fairness Act (Section 10): Cannvas will not penalize you for an honest review, including a negative one. Enforcement targets fake, fraudulent, deceptive, unlawful, or guideline-violating content and conduct — not honest opinions.

13.3 Escalation and repeat violations. Cannvas may weigh the severity, frequency, and intent of violations. Serious violations (for example, fraud, manipulation, threats, or unlawful content) may result in immediate termination without prior warning. Accounts with repeated violations, and repeat infringers, may be terminated.

13.4 Forfeiture of Loyalty points for fraud or manipulation. IF YOU OBTAIN OR ATTEMPT TO OBTAIN LOYALTY PROGRAM POINTS OR REWARDS THROUGH FAKE, DUPLICATE, INCENTIVIZED-UNDISCLOSED, MANIPULATED, OR OTHERWISE FRAUDULENT REVIEWS, OR THROUGH MULTIPLE OR AUTOMATED ACCOUNTS, CANNVAS MAY WITHHOLD, REVERSE, CANCEL, OR FORFEIT THE AFFECTED POINTS AND REWARDS AND MAY TERMINATE YOUR PARTICIPATION IN THE LOYALTY PROGRAM, as further described in the Loyalty Program Terms.

13.5 Referrals and cooperation. Cannvas may report unlawful content or conduct to, and cooperate with, law enforcement and regulators, and may preserve and disclose information as permitted by the Privacy Policy and applicable law.

13.6 Reservation of rights. Cannvas's rights and remedies are cumulative. A failure to enforce any provision is not a waiver of the right to enforce it later.


14. Changes to These UGC Terms

Cannvas may update these UGC Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by updating the "Last updated" date, posting notice within the Service, or other reasonable means). Changes are effective as of the date stated. YOUR CONTINUED SUBMISSION OR USE OF USER CONTENT AFTER CHANGES BECOME EFFECTIVE CONSTITUTES YOUR ACCEPTANCE OF THE UPDATED UGC TERMS. If you do not agree, stop submitting User Content and discontinue use of the ratings features.
